525 b 2002 hard shift

Have cat rebuilt transmission in my 525b 2500 he's. Slams into gear when shifting through gears. Slips in 5th under load when roading. Oil turns black after 15 he's. Is it shot?

It is toast.  Likely the torque convertor lock up clutch has failed and that causes the black oil( metal shavings) and that causes the the modulator orfice  to get stopped up thus the hard shift. Progressive damage continues through the system.  I hope I am wrong . Best of luck.
